Terms and Conditions

Last Updated: October 9, 2026

IMPORTANT: SECTION 24 CONTAINS A BINDING ARBITRATION AGREEMENT, A CLASS AND REPRESENTATIVE ACTION WAIVER, AND A JURY TRIAL WAIVER FOR MOST DISPUTES BETWEEN YOU AND WEDFLEX. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 24. THIS ARBITRATION PROVISION DOES NOT GOVERN A DISPUTE SOLELY BETWEEN A COUPLE AND A WEDFLEXER UNDER THEIR SERVICE AGREEMENT. SECTION 24 ALSO SETS A ONE-YEAR FILING DEADLINE FOR MOST CLAIMS AGAINST WEDFLEX, SUBJECT TO APPLICABLE LAW.

These Terms and Conditions (the "Terms") are a binding agreement between you and WedFlex, LLC ("WedFlex," "we," "us," or "our"). They govern your access to and use of www.wedflex.com, any WedFlex mobile or web application, and related features, communications, marketplace, booking, payment, and support services that we make available (collectively, the "Platform").

WedFlex operates a peer-to-peer wedding marketplace. Couples use the Platform to post offers for wedding-related services, and independent service providers called WedFlexers may accept those offers or submit counteroffers. When a Couple accepts the final Booking Terms and the payment and Booking are confirmed through the Platform, a separate binding Service Agreement is formed directly between the Couple and the WedFlexer. WedFlex facilitates that transaction but is not the provider of the wedding services and is not a party to the Service Agreement for those services.

The following policies are incorporated by reference where applicable: Privacy Policy and Refund & Cancellation Policy.

1. DEFINITIONS

1.1 "Booking" means a confirmed transaction through the Platform for wedding-related services between a Couple and a WedFlexer.

1.2 "Booking Terms" means the transaction-specific terms accepted for a Booking, including the names or registered account identities of the Couple and WedFlexer, service category and description, date, location, service times, price, scope and deliverables, accepted Counteroffer or modifications, applicable cancellation and refund terms, Category Requirements, creative-deliverable ownership or usage terms where stated, and other terms displayed or affirmatively accepted in connection with that Booking.

1.3 "Category Requirements" means requirements that WedFlex displays or otherwise communicates for a particular service category, including licensing, permits, certifications, insurance, safety, venue, age, transportation, food, alcohol, or other compliance requirements.

1.4 "Couple" means a User who requests or books wedding-related services through the Platform, whether acting personally or on behalf of another person or entity with authority to do so.

1.5 "Counteroffer" means a proposed change to an Offer, including a change to price, scope, timing, deliverables, or other Booking Terms, submitted through a Platform feature or other WedFlex-approved electronic process.

1.6 "Offer" means a request posted by a Couple through the Platform describing wedding-related services sought and the proposed terms for those services.

1.7 "Service Agreement" means the binding contract for the underlying wedding-related services that is automatically formed directly between the Couple and the WedFlexer when the conditions in Section 4.4 are satisfied. WedFlex is not a party to that Service Agreement.

1.8 "Services" means the wedding-related services that a WedFlexer agrees to perform for a Couple under a Service Agreement. "Services" does not include the Platform services supplied by WedFlex.

1.9 "User" means any person or entity that accesses or uses the Platform, including a Couple or WedFlexer. A single account may act in more than one role where the Platform permits it.

1.10 "User Content" means information or materials a User submits, uploads, posts, displays, transmits, or makes available through the Platform, including profile information, portfolios, Offer descriptions, messages, reviews, photos, videos, and other content.

1.11 "WedFlexer" means an independent service provider who uses the Platform to seek, accept, or perform wedding-related work. A WedFlexer may be an individual or a business where the Platform permits business registration.

2. ACCEPTANCE, ELIGIBILITY, AND ACCOUNTS

2.1 Acceptance. By creating an account, checking an acceptance box, clicking a button that indicates acceptance, confirming a Booking, or otherwise using the Platform after being presented with these Terms, you agree to be bound by these Terms and the policies incorporated into them. If you do not agree, do not use the Platform.

2.2 Electronic Transactions. You agree that transactions with WedFlex and through the Platform may be conducted electronically. Your electronic acceptance and WedFlex's records of that acceptance may be used as evidence of your agreement. You should retain a copy of the Terms and each Booking confirmation for your records.

2.3 Age and Capacity. You must be at least 18 years old and legally capable of entering into a binding contract. If you use the Platform on behalf of a company, venue, organization, engaged couple, family member, or other person, you represent that you have authority to bind that person or entity to the extent you purport to act for them.

2.4 Account Information. You must provide accurate, current, and complete information and promptly update material changes. Each account must identify a responsible individual or entity, even if an authorized representative uses the account on that person or entity's behalf. You may not impersonate another person, create an account using false information, or misrepresent your qualifications, identity, affiliations, location, experience, licenses, insurance, or authority.

2.5 Account Security. You are responsible for safeguarding your login credentials and for activity conducted through your account to the extent permitted by law. You may not share or transfer your account credentials. Notify WedFlex promptly if you believe your account has been compromised.

2.6 Multiple Roles. If the Platform permits you to act as both a Couple and a WedFlexer, the obligations applicable to each role apply whenever you use the Platform in that role.

3. WEDFLEX IS A MARKETPLACE, NOT THE WEDDING SERVICE PROVIDER

3.1 Technology Marketplace. WedFlex provides technology that helps Users discover one another, communicate, form Bookings, process payments, maintain transaction records, and use related marketplace features. WedFlex does not itself perform the underlying wedding-related Services unless a separate written agreement expressly states otherwise.

3.2 No Employment, Agency, or Partnership. WedFlexers are independent providers and are not employees, agents, partners, joint venturers, franchisees, or representatives of WedFlex. No User has authority to make commitments, representations, warranties, or agreements on behalf of WedFlex.

3.3 No Control of Service Performance. Subject to these Terms, applicable law, venue requirements, safety rules, and the agreed Booking Terms, the Couple and WedFlexer determine the scope and expectations of the Services, and the WedFlexer is responsible for the manner and means of performing the Services. WedFlex may establish marketplace eligibility, safety, payment, conduct, insurance, and compliance rules without becoming the employer or service provider.

3.4 User Selection and Evaluation. Couples are responsible for deciding whether a WedFlexer and the proposed Services are suitable for their needs. WedFlexers are responsible for deciding whether an Offer is suitable, lawful, and within their skills, capacity, availability, and qualifications.

3.5 Limited Review of User Information. WedFlex may conduct a limited administrative review of information that a User provides and may, where supported by the Platform, request or display documentation or a status indicator. The nature and extent of any review may vary by service category and over time. Such review is not a comprehensive assessment of the User and does not establish that all statements, credentials, licenses, insurance coverage, qualifications, portfolio materials, or reviews are authentic, adequate, accurate, or current. Any badge or status indicator applies only to the specific criteria WedFlex actually identifies for that indicator; it is not a warranty, endorsement, or guarantee of a User's safety, suitability, legality, qualifications, insurance protection, or performance. Users remain responsible for evaluating one another and the Services.

3.6 No Guarantee. WedFlex does not guarantee that any Offer will receive a response, that a particular WedFlexer will be available, that a Booking will be completed, that a User will perform or pay as expected, or that a wedding or event will achieve any particular result.

4. OFFERS, COUNTEROFFERS, AND BOOKING FORMATION

4.1 Posting an Offer. A Couple may post an Offer stating the Services requested, proposed price, wedding or event date, location, timing, scope, deliverables, access requirements, and other material expectations. The Couple must provide enough accurate information for a WedFlexer to evaluate the work and may not request unlawful or prohibited Services.

4.2 Acceptance or Counteroffer. A WedFlexer may accept an Offer as posted or, where the Platform permits, submit a Counteroffer. A Counteroffer replaces inconsistent terms of the prior Offer only if the Couple affirmatively accepts it. An unaccepted Offer or Counteroffer does not create a Booking or obligation to perform Services.

4.3 Review Before Confirmation. Before confirming a Booking, each party must review the final Booking Terms, including the service description, scope, event date, location, timing, price, cancellation terms, Category Requirements, and any accepted Counteroffer or modifications. Each party is responsible for identifying and resolving material ambiguities before Booking confirmation.

4.4 When a Booking and Service Agreement Become Binding. A Booking becomes confirmed, and a binding Service Agreement automatically forms directly between the Couple and the WedFlexer, when: (a) the Couple has accepted the final Booking Terms; (b) any required WedFlexer acceptance or Counteroffer acceptance has occurred; (c) the Couple has successfully completed the required payment authorization or payment step through the Platform; and (d) the Platform issues or records confirmation of the Booking. If payment authorization fails or WedFlex does not confirm the Booking, no Service Agreement is formed unless WedFlex expressly states otherwise in writing.

4.5 Booking Record. The Platform record of the Offer, accepted Counteroffer, Booking Terms, timestamps, communications incorporated into the Booking, and Booking confirmation may be used to establish the terms accepted by the parties. Users should retain their own copies or screenshots of final Booking Terms and material modifications.

4.6 Changes After Confirmation. A change to price, scope, date, location, timing, deliverables, or another material Booking Term is binding only if both the Couple and WedFlexer affirmatively agree through a Platform modification feature or another electronic method that WedFlex recognizes and records. Informal discussions do not change a Booking unless the parties clearly agree to the change and the change is recorded in a form reasonably capable of later proof.

4.7 No Private Modification of WedFlex Terms. The Couple and WedFlexer may modify their Service Agreement to the extent permitted by the Platform and applicable law, but they may not modify WedFlex's fees, payment rules, liability protections, intellectual property rights, dispute terms, or other provisions governing their separate relationship with WedFlex without WedFlex's written consent.

5. SERVICE AGREEMENT BETWEEN COUPLE AND WEDFLEXER

5.1 Parties. Each confirmed Booking creates a Service Agreement solely between the identified Couple and WedFlexer. WedFlex facilitates formation and administration of the Booking but is not a party to the agreement to perform wedding-related Services.

5.2 Contents of Service Agreement. The Service Agreement includes: (a) the names or registered account identities of the Couple and WedFlexer shown in the Booking; (b) the Services and service category; (c) event date and location; (d) arrival, departure, or service times; (e) agreed price and applicable payment terms; (f) scope and deliverables; (g) accepted Counteroffers and modifications; (h) the Refund & Cancellation Policy and cancellation terms applicable when the Booking is confirmed; (i) applicable licensing and insurance representations; (j) the Couple's and WedFlexer's responsibilities in these Terms; (k) the user-to-user dispute procedure in Section 25; (l) applicable Category Requirements; and (m) other Booking Terms affirmatively accepted through the Platform.

5.3 Order of Precedence for the Service Agreement. If provisions governing the Couple-WedFlexer relationship conflict, the following order controls unless applicable law requires otherwise: (a) a specific Booking Term or modification affirmatively accepted by both parties; (b) Category Requirements expressly identified for that Booking; (c) the Refund & Cancellation Policy applicable to the Booking; and (d) the Service Agreement provisions of these Terms. This order of precedence does not permit Users to override provisions that govern WedFlex's rights or obligations unless WedFlex expressly agrees.

5.4 No Third-Party Service Warranty by WedFlex. WedFlex is not responsible for a party's breach of the Service Agreement and does not guarantee the quality, safety, legality, timeliness, licensing, insurance, professional standard, or outcome of the Services. WedFlex may facilitate a platform dispute or administer a refund or payout decision under its policies without becoming a party to the Service Agreement or assuming responsibility for performance.

5.5 Creative Deliverables and Intellectual Property. If a Booking includes photography, videography, music, design, written materials, artwork, or other copyrightable or proprietary deliverables, ownership and permitted uses are governed by the specific Booking Terms and any applicable Category Requirements. If those terms do not address ownership or licensing, these Terms do not independently transfer ownership of intellectual property between the Couple and WedFlexer, and applicable law governs. Any portfolio, publicity, or marketing use of event media must also comply with Section 15, the rights of persons depicted, and applicable law.

6. COUPLE RESPONSIBILITIES

6.1 Accurate Booking Information. The Couple must accurately describe the requested Services and disclose material facts that could affect performance, safety, access, timing, legal compliance, equipment, staffing, or cost.

6.2 Authority and Venue Access. The Couple is responsible for obtaining permission to hold the event and to permit the WedFlexer to enter and perform at the applicable venue or property. The Couple must communicate venue rules, access windows, security procedures, parking restrictions, vendor requirements, and other material conditions known to the Couple.

6.3 Safe Working Conditions. The Couple must provide a reasonably safe environment under the Couple's control and may not require a WedFlexer to perform unlawful, materially unsafe, or materially different work from the agreed scope. The Couple must promptly disclose known hazards that could reasonably affect performance.

6.4 Cooperation. The Couple must provide timely information, approvals, access, materials, utilities, contacts, or other dependencies assigned to the Couple in the Booking. Delay or nonperformance caused by the Couple may affect the WedFlexer's ability to perform and may be handled under the applicable cancellation or dispute rules.

6.5 Payment. The Couple must pay the amounts shown at checkout and may not circumvent the Platform payment process for a transaction subject to Section 12.

6.6 Lawful Instructions. The Couple may not instruct or pressure a WedFlexer to violate law, licensing requirements, venue rules, professional standards, safety obligations, or these Terms.

7. WEDFLEXER STATUS, QUALIFICATIONS, AND PERFORMANCE

7.1 Independent Business Relationship. A WedFlexer uses the Platform as an independent provider. The WedFlexer decides whether to view, pursue, accept, reject, or counter an Offer and is not required to accept any minimum number of Bookings. Subject to the Service Agreement and applicable law, the WedFlexer controls the manner and means of performing the Services.

7.2 Classification Depends on Law and Facts. The parties intend an independent contractor relationship between WedFlex and each WedFlexer. Contract labels do not override applicable worker-classification law. Nothing in these Terms waives any nonwaivable right or changes a classification that applicable law requires based on the actual facts and relationship.

7.3 No Authority or Benefits. A WedFlexer has no authority to bind WedFlex and must not represent otherwise. Except to the extent required by applicable law, a WedFlexer is not entitled to wages, benefits, expense reimbursement, workers' compensation coverage, unemployment benefits, paid leave, or other employee benefits from WedFlex solely because the WedFlexer uses the Platform.

7.4 Skills and Experience. A WedFlexer represents that the profile information and experience claimed are materially accurate and that the WedFlexer will accept only Services the WedFlexer can lawfully and competently perform.

7.5 Licenses, Permits, and Certifications. Each WedFlexer is solely responsible for obtaining, maintaining, and complying with every license, permit, registration, certification, authorization, inspection, or professional credential required for the Services in the jurisdiction and venue where they will be performed. This may include, as applicable, cosmetology or barbering credentials, authority to solemnize marriages, food-service permits, alcohol-service authorizations, transportation or vehicle-for-hire licenses, venue permits, business registrations, and other local or professional requirements.

7.6 Tools, Equipment, and Expenses. Unless the Booking expressly states otherwise, the WedFlexer is responsible for ordinary tools, equipment, supplies, transportation, business expenses, and other resources necessary to perform the Services. The parties must identify material Couple-supplied items in the Booking.

7.7 Assistants and Subcontractors. A WedFlexer may use assistants or subcontractors only when lawful, consistent with the Booking, and not prohibited by applicable Category Requirements or venue rules. The WedFlexer remains responsible for their acts and omissions, qualifications, insurance, and compliance as if they were the WedFlexer's own acts and omissions.

7.8 Professional and Timely Performance. A WedFlexer must perform the agreed Services with reasonable care, in a professional manner appropriate to the service category, at the agreed location and times, and consistent with the Booking Terms, safety requirements, and applicable law.

7.9 Taxes. The WedFlexer is responsible for taxes, registrations, filings, and business obligations arising from amounts earned through the Platform, except taxes that WedFlex or a payment provider is legally required to collect, withhold, or report. WedFlex or Stripe may request tax information and report payments as required by law.

8. LICENSE AND INSURANCE REQUIREMENTS

8.1 Category-Specific License Requirements. WedFlexers who engage in categories where licensing is required must maintain such licensing as required by law, the venue, the Booking, or applicable Category Requirements.

8.2 Category-Specific Insurance Coverage. WedFlexer insurance requirements are risk-based on the category of service provided. WedFlexers must maintain all insurance required by law, the venue, the Booking, or applicable Category Requirements. Depending on the Services, this may include: (a) liquor liability coverage of at least $1,000,000 for bartending or alcohol service where such coverage is commercially available and appropriate; (b) commercial automobile liability coverage of at least $1,000,000 combined single limit for transportation of persons or other commercial driving services; (c) professional or errors-and-omissions liability for professional services where WedFlex or the applicable Category Requirements require it; and (d) workers' compensation or occupational accident coverage where required by law based on the WedFlexer's business structure or personnel.

8.3 Additional Insured. Where required by a Booking, venue, Category Requirement, or WedFlex's risk program and commercially available for the applicable policy, the WedFlexer must cause WedFlex and any other required party to be named as an additional insured on terms appropriate to the coverage.

8.4 Proof of Insurance and Category Eligibility. WedFlex may require a certificate of insurance, policy declarations, endorsement, or other reasonable proof of insurance covering the applicable Services before permitting a WedFlexer to accept or perform a Booking in a category requiring coverage. A WedFlexer must provide accurate and current evidence when requested. WedFlex may restrict an activity or Booking until the requested evidence is supplied, but requesting or reviewing documentation does not constitute a guarantee of coverage.

8.5 Continuous Coverage and Changes. Each WedFlexer must maintain all insurance required for a Booking through completion of the applicable Services and must promptly inform WedFlex of cancellation, expiration, lapse, material reduction, or another change affecting required coverage. A WedFlexer must not undertake a newly added or materially changed activity until any additional required coverage is in effect.

8.6 No Automatic Coverage Through WedFlex. WedFlex’s own insurance, if any, does not replace required WedFlexer coverage and does not automatically insure the WedFlexer, Couple, guests, venue, vehicles, property, or Services unless the applicable policy expressly provides that coverage.

8.7 No Warranty of Insurance Sufficiency. WedFlex’s request for, receipt, limited review of, or display of insurance information is not a warranty that coverage is valid, current, adequate, collectible, or available for a particular claim. Users should evaluate material risks and may seek additional proof from one another when appropriate.

8.8 Incident Reporting and Claims Cooperation. A WedFlexer must promptly notify WedFlex and the applicable insurer of an incident arising from a Booking that could reasonably give rise to a claim involving WedFlex and must reasonably cooperate with insurance tenders, claims administration, investigations, and defense, without being required to waive legally protected privileges.

8.9 Noncompliance. Performing a Booking without applicable required insurance, misrepresenting coverage, or failing to provide required evidence is a material breach that may result in a booking restriction, cancellation under applicable policies, suspension, termination, or other lawful remedies.

9. SAFETY AND CATEGORY-SPECIFIC COMPLIANCE

9.1 General Safety. Users must act lawfully and reasonably to protect persons and property. A WedFlexer may refuse or stop work when the WedFlexer reasonably believes conditions are unlawful or present an imminent and material safety risk, subject to applicable law and the Service Agreement.

9.2 Alcohol-Related Services. A WedFlexer providing bartending or other alcohol-related Services must hold all legally required permits, certifications, or authorizations; comply with applicable alcohol laws and venue rules; not sell or furnish alcohol unlawfully; not serve a person under the lawful drinking age; not knowingly serve a visibly intoxicated person where prohibited; and maintain required liquor liability coverage. The Couple is responsible for lawful acquisition of alcohol unless the Booking expressly assigns that responsibility to a properly licensed provider.

9.3 Food and Catering. A WedFlexer preparing, handling, or serving food must comply with applicable food-safety, cottage-food, commercial-kitchen, health-department, allergy-disclosure, and permitting requirements. The WedFlexer is responsible for accurately describing whether food is prepared in a licensed facility or under another lawful authorization where that distinction is material.

9.4 Transportation. A WedFlexer transporting passengers or providing commercial driving Services must hold all required driver, vehicle, and vehicle-for-hire licenses, maintain legally required inspections and commercial insurance, use a safe and legally compliant vehicle, and not operate while impaired or otherwise unable to drive safely.

9.5 Beauty Services. Hair, makeup, barbering, cosmetology, esthetics, and similar Services must be performed only by persons holding any license or authorization required in the jurisdiction where the Service is performed and in compliance with sanitation and facility requirements.

9.6 Officiant Services. A WedFlexer acting as a wedding officiant is responsible for confirming that the WedFlexer is legally authorized to solemnize the marriage in the applicable jurisdiction and for following legal requirements assigned to the officiant. WedFlex does not provide legal advice concerning marriage validity.

9.7 Venues, Setup, Tear Down, Lighting, and A/V. Providers of venue, setup, teardown, lighting, audiovisual, rigging, or equipment-related Services must have lawful authority to provide the space or equipment, comply with occupancy, fire, electrical, structural, safety, and venue requirements, and maintain any additional insurance required for the activity.

9.8 Restricted or High-Risk Services. Users may not request, offer, or perform regulated or unusually high-risk Services through the Platform unless WedFlex has expressly enabled the category and the User satisfies all applicable Category Requirements. WedFlex may prohibit or restrict any categories or other activities that create material legal, safety, or insurance risk.

10. FEES, PAYMENTS, PAYOUTS, AND TAXES

10.1 Payment Processor and Stripe Connect Authorization. WedFlex uses Stripe and Stripe Connect, or another payment provider identified through the Platform, to process payments and provider payouts. Payment services are also subject to the payment provider's terms, privacy policy, risk controls, and eligibility requirements. A WedFlexer may be required to create or maintain a connected account and accept the then-current Stripe Connected Account Agreement or equivalent provider terms. To the extent enabled by WedFlex's payment-provider configuration and disclosed through the Platform, a WedFlexer authorizes WedFlex to transmit information to the payment provider and to initiate or administer Booking-related payment activity on the WedFlexer's behalf, including collecting or deducting disclosed platform fees, facilitating charges and transfers, issuing or administering refunds, responding to payment disputes or chargebacks, making permitted payout adjustments, and accessing transaction, payout, dispute, and account-status information reasonably necessary to provide the Platform. WedFlex will exercise that authority subject to applicable law, the Privacy Policy, the payment-provider relationship, and the permissions available for the applicable connected account.

10.2 Platform Fees. WedFlex may charge service, platform, transaction, processing, or other fees to a Couple, WedFlexer, or both. Applicable fees will be disclosed through the Platform before the relevant transaction is confirmed. WedFlex may change fees prospectively, but a fee change will not retroactively alter the fee shown for a Booking that was already confirmed unless required by law or agreed by the affected User.

10.3 Payment Authorization. By confirming a paid Booking, the Couple authorizes the payment provider and WedFlex, as applicable, to charge the payment method for the Booking price, disclosed platform fees, applicable taxes, authorized adjustments, and other amounts the Couple expressly accepts. The Couple must maintain a valid payment method until all amounts due for the Booking are resolved.

10.4 Limited Payment Collection; Satisfaction of Payment Obligation. To the extent the Platform accepts or processes a Booking payment through Stripe or another payment provider on a WedFlexer's behalf, the WedFlexer appoints WedFlex as the WedFlexer's limited payment collection agent solely to receive, or cause the applicable payment provider to collect, amounts due for that Booking. The Couple's payment obligation for an amount successfully collected through the Platform is satisfied to the extent of the amount received through the payment process, subject to any later valid refund, reversal, chargeback, or adjustment. This limited appointment does not make WedFlex a party to the Service Agreement and does not create a fiduciary, employment, or general agency relationship.

10.5 Payouts. WedFlexer payouts are made through the applicable payment provider, less disclosed fees, refunds, reversals, chargebacks, offsets, and other authorized adjustments. Payout timing may depend on Booking completion, the service date, payment-provider settlement, fraud or risk review, disputes, refunds, chargebacks, or other conditions disclosed through the Platform or applicable policies.

10.6 Payout Holds and Adjustments. To the extent permitted by law and the payment-provider relationship, WedFlex may delay, instruct the payment provider to delay, offset, or adjust a payout while a refund request, chargeback, fraud review, safety investigation, Terms investigation, or payment dispute is pending, or when amounts are reasonably expected to be owed by the WedFlexer under these Terms. Any undisputed balance will be handled in accordance with applicable law and payment-provider rules.

10.7 Refund and Chargeback Recovery. If a refund, payment reversal, or chargeback relates to a Booking and the amount is properly allocable to the WedFlexer under the Refund & Cancellation Policy, Booking Terms, payment-provider rules, or applicable law, the WedFlexer authorizes WedFlex and the payment provider to recover that amount from an unpaid payout, connected-account balance, future payouts, or an invoice, to the extent permitted by law.

10.8 Failed or Reversed Payments. A failed, reversed, fraudulent, or unauthorized payment may cause a Booking to be canceled or suspended. WedFlex is not required to advance funds to a WedFlexer before the applicable payment is successfully received and cleared through the payment process.

10.9 No Escrow or Fiduciary Relationship. Unless WedFlex expressly states otherwise in a separate written agreement, the Platform payment flow is not intended to create an escrow, trust, fiduciary, depository, or banking relationship between WedFlex and a User. Payment processing is provided through third-party financial service providers subject to their rules and applicable law.

10.10 Taxes. Users are responsible for their own tax obligations except taxes that WedFlex or a payment provider is legally required to collect, remit, withhold, or report. WedFlex may request tax documentation and may provide transaction information to tax authorities or Users as required by law.

11. CANCELLATIONS, REFUNDS, RESCHEDULING, AND PLATFORM DISPUTES

11.1 Refund & Cancellation Policy. Cancellations, rescheduling, no-shows, refund eligibility, payout consequences, and related platform remedies are governed by the Refund & Cancellation Policy and any Booking-specific cancellation term presented before confirmation. The version applicable when the Booking is confirmed forms part of the Service Agreement unless a later mutually accepted modification expressly changes it.

11.2 Couple Cancellation. A Couple must cancel through the Platform using the available cancellation process. Refund eligibility and any amount retained or paid to a WedFlexer are determined under the applicable policy and Booking Terms.

11.3 WedFlexer Cancellation or No-Show. A WedFlexer who cannot perform must cancel through the Platform as soon as reasonably possible. A late cancellation, failure to appear, or material failure to perform may result in payout loss or recovery, account consequences, suspension, or other remedies stated in the applicable policy.

11.4 Rescheduling and Material Changes. A rescheduled date, location, material scope change, or price change is binding only if both parties accept the change as provided in Section 4.6. If they cannot agree, the cancellation policy applicable to the original Booking governs unless applicable law requires otherwise.

11.5 Platform Dispute Review. WedFlex may review information submitted by Users and make administrative decisions concerning Platform refunds, payouts, credits, account actions, or policy enforcement. Such a decision concerns WedFlex's administration of the Platform and does not constitute a judicial or arbitral determination of the parties' independent legal claims against one another.

11.6 Chargebacks. A chargeback is not a substitute for using the Platform dispute or cancellation process. WedFlex may contest a chargeback and may provide the payment processor with Booking records, communications, proof of performance, policy acceptance, or other transaction information, subject to the Privacy Policy and applicable law.

12. OFF-PLATFORM TRANSACTIONS AND NON-CIRCUMVENTION

12.1 Platform Transactions. When Users first connect through WedFlex, they must use the Platform for payment of the resulting Booking and for additional wedding-related Services between the same Users for 12 months after their first Platform introduction, unless WedFlex expressly authorizes an exception or applicable law prohibits the restriction.

12.2 Prohibited Circumvention. During the period in Section 12.1, Users may not request, offer, direct, accept, or arrange payment through cash, check, Venmo, Zelle, Cash App, PayPal, another marketplace, or another off-platform method for Services within the scope of this Section for the purpose or effect of avoiding WedFlex's fees or Platform protections.

12.3 Pre-Existing Relationships. This Section does not prohibit a bona fide relationship that existed independently before the Users were introduced through WedFlex. However, if the Users choose to create a Booking through WedFlex, the confirmed Booking and its payment remain subject to these Terms.

12.4 Consequences. Circumvention may result in cancellation of Platform benefits, account restriction, suspension, or termination. To the extent permitted by law, a User who knowingly diverts a transaction in breach of this Section is responsible for the platform fees that WedFlex would have earned on the diverted transaction and reasonable costs of collection. This remedy is intended to compensate WedFlex for actual lost fees and is not a penalty.

13. USER CONDUCT AND PROHIBITED USES

You may not use the Platform to engage in, facilitate, request, or assist any of the following:

  • illegal, fraudulent, deceptive, or unsafe activity;
  • a Service that you are not legally permitted, licensed, certified, insured, or otherwise authorized to provide;
  • harassment, threats, violence, stalking, discrimination prohibited by law, retaliation, or abuse;
  • impersonation, false credentials, fake reviews, false profiles, or material misrepresentation;
  • unlawful sale or furnishing of alcohol, service of alcohol to a minor, or other unlawful alcohol activity;
  • unlawful food preparation or sale, unlicensed passenger transportation, or another regulated service performed without required authorization;
  • payment circumvention prohibited by Section 12;
  • abuse of refunds, promotions, credits, chargebacks, or referral programs;
  • infringement or misappropriation of intellectual property, privacy, publicity, or other rights;
  • spam, phishing, malware, unauthorized advertising, or unauthorized commercial solicitation;
  • scraping, crawling, data mining, reverse engineering, automated account creation, security testing without authorization, bypassing access controls, or interfering with Platform operation;
  • collection or use of another person's personal information for purposes unrelated to a legitimate Booking or Platform use;
  • weapons, explosives, controlled substances, adult sexual services, or other restricted categories except where WedFlex expressly permits a lawful and appropriately insured category; or
  • conduct that materially threatens the safety, rights, property, reputation, or legal compliance of another User, WedFlex, a venue, a guest, or a third party.

WedFlex may investigate suspected violations and may cooperate with payment providers, insurers, venues, law enforcement, regulators, or other parties where reasonably necessary and permitted by law.

14. COMMUNICATIONS, EMAIL, AND SMS

14.1 Electronic Communications. You agree that WedFlex may send service-related notices electronically, including by email, in-app message, account notification, or other electronic method associated with your account, subject to applicable law and your communication choices.

14.2 Optional SMS Program. If WedFlex offers text messaging and you separately provide your phone number and opt in, you may receive only the categories of text messages identified in the consent disclosure presented to you. WedFlex's current SMS disclosures may include account-related and launch notifications. WedFlex will not treat general acceptance of these Terms as consent to materially different SMS categories that require separate consent or disclosure. Message frequency may vary. Message and data rates may apply.

14.3 Marketing Consent. Consent to receive promotional or marketing text messages is not a condition of purchasing or using WedFlex services. Where marketing texts require separate consent, WedFlex will seek that consent separately from general acceptance of these Terms.

14.4 Opt-Out. You may revoke SMS consent using any reasonable method that applicable law requires WedFlex to honor, including by replying STOP where reply messaging is supported or by using another opt-out method identified in the applicable consent disclosure. You may reply HELP for assistance where supported. WedFlex may send a one-time confirmation of an opt-out request as permitted by law. WedFlex will apply revocation requests to the applicable message categories as required by law and its communication controls.

14.5 Consent Records. WedFlex may retain records reasonably necessary to document consent and opt-out status, including the phone number, language presented, date and time, source or method of consent, and the version of relevant terms or privacy disclosures, subject to the Privacy Policy and applicable law.

14.6 Privacy. WedFlex's handling of phone numbers, consent data, messages, and other personal information is governed by the Privacy Policy and applicable law.

15. USER CONTENT, MESSAGES, REVIEWS, AND EVENT MEDIA

15.1 Your Ownership. As between you and WedFlex, you retain ownership of User Content you own, subject to the licenses granted in these Terms and rights of other persons depicted or identified in the content.

15.2 License to Operate the Platform. You grant WedFlex a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, transmit, display, and otherwise use User Content as reasonably necessary to operate, secure, moderate, support, and improve the Platform and to display content to Users for the purposes for which you submitted it. This license does not transfer ownership to WedFlex.

15.3 Promotional Use. WedFlex will not obtain ownership of photographs or video merely because a wedding or event was booked through the Platform. Material that a User intentionally uploads to a public profile or portfolio may be displayed within the Platform. Use of wedding photographs, videos, or other User Content in off-Platform advertising or promotional campaigns will require a separate permission or another lawful basis where such permission is required. Rights in creative deliverables produced under a Booking are addressed in Section 5.5.

15.4 Content Rights and Accuracy. You represent that you own or have the necessary rights and permissions to submit User Content and that your submission and WedFlex's permitted use will not violate law or another person's intellectual property, privacy, publicity, contractual, or other rights. You must not upload confidential information you are not authorized to disclose.

15.5 Messages. Platform messages may be stored and processed to provide communications, maintain Booking records, address support or disputes, prevent fraud or abuse, and enforce these Terms, as described in the Privacy Policy. Do not use Platform messages for unlawful, harassing, or off-platform circumvention purposes.

15.6 Reviews. Reviews must reflect the reviewer's genuine experience. Users may not create, submit, buy, sell, or arrange fake or false reviews; review themselves through another account; condition compensation or an incentive on a reviewer expressing a particular positive or negative sentiment; conceal a material connection that applicable law requires to be disclosed; use threats or other unlawful means to suppress a lawful negative review; or use reviews to maliciously target a competitor. WedFlex may moderate, decline, remove, or restrict reviews that violate these Terms or applicable law, but will not represent that displayed reviews are complete or unbiased if moderation practices would make that representation inaccurate. Reviews are opinions of the submitting Users and do not represent WedFlex's views.

15.7 Removal and Preservation. WedFlex may remove or restrict User Content that violates these Terms, creates legal or safety risk, or must be removed by law. Deleting content or an account does not require deletion of records WedFlex is legally entitled or required to retain, including transaction, consent, fraud-prevention, dispute, backup, and compliance records.

16. WEDFLEX INTELLECTUAL PROPERTY

16.1 WedFlex Property. The Platform, including its software, design, compilation, text, graphics, logos, trademarks, service marks, databases, interfaces, and other content supplied by WedFlex, is owned by or licensed to WedFlex and is protected by intellectual property and other laws.

16.2 Limited License. Subject to these Terms, WedFlex grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for its intended marketplace purposes.

16.3 Restrictions. Except as expressly permitted, you may not copy, sell, license, distribute, modify, create derivative works from, reverse engineer, scrape, extract, frame, mirror, use automated means to access, or commercially exploit the Platform or WedFlex's content. You may not use WedFlex's names, logos, or marks in a manner that suggests sponsorship, employment, agency, or endorsement without written permission.

16.4 Feedback. If you voluntarily provide suggestions or feedback about the Platform, you grant WedFlex a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided WedFlex does not publicly identify you as the source without permission.

17. THIRD-PARTY SERVICES, PAYMENT PROVIDERS, AND LINKS

17.1 Third-Party Services. The Platform may rely on or link to third-party services, including payment processors, communications providers, hosting services, analytics tools, maps, identity or insurance tools, and other integrations. Your use of those services may be governed by separate terms and privacy policies.

17.2 Independent Providers. WedFlex does not control and is not responsible for the independent acts, omissions, outages, security practices, or contractual performance of third-party providers, except to the extent applicable law imposes responsibility on WedFlex.

17.3 Payment Provider Terms. WedFlexers using Stripe Connect are responsible for satisfying applicable connected-account requirements and authorizing the payment and account activities described in Section 10.1 to the extent those activities are enabled by the applicable Stripe Connect configuration. Stripe has its own contractual relationship with connected accounts under its then-current terms, and WedFlex's use of connected-account data and payment functionality remains subject to those terms, the Privacy Policy, and applicable law.

18. SUSPENSION, RESTRICTIONS, AND TERMINATION

18.1 WedFlex Rights. WedFlex may investigate, restrict features, remove content or Offers, suspend categories, pause or cancel Bookings, delay or adjust payouts where authorized, suspend an account, or terminate access when WedFlex reasonably believes that a User: (a) violated these Terms or a Booking policy; (b) engaged in fraud or unlawful conduct; (c) created material safety, payment, insurance, regulatory, or legal risk; (d) failed to maintain required licensing or insurance; (e) repeatedly canceled or failed to perform; (f) abused chargebacks or refunds; (g) circumvented the Platform; or (h) must be restricted to comply with law, a court order, insurer requirements, or payment-provider obligations.

18.2 Notice. WedFlex may act without advance notice when reasonably necessary for safety, fraud prevention, legal compliance, payment risk, or protection of Users or third parties. Where practical and appropriate, WedFlex may provide notice and an opportunity to provide information or cure a remediable issue.

18.3 Existing Bookings. Suspension or termination does not automatically eliminate obligations under an existing Service Agreement. WedFlex may cancel or administer an existing Booking when reasonably necessary, and refunds and payout treatment will be governed by the applicable policy, Booking Terms, payment-provider rules, and law.

18.4 User Closure. You may close your account subject to completion or resolution of outstanding Bookings, payments, refunds, disputes, chargebacks, records, and other obligations that reasonably must continue after closure.

18.5 Survival. Provisions that by their nature should survive termination remain effective, including payment and recovery obligations, intellectual property, User Content licenses necessary for retained records, non-circumvention for its stated period, disclaimers, releases, indemnification, limitation of liability, dispute resolution, and general provisions.

19. DISCLAIMERS OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WEDFLEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

WEDFLEX DOES NOT WARRANT OR GUARANTEE THE IDENTITY, BACKGROUND, SKILLS, EXPERIENCE, LICENSING, INSURANCE, SAFETY, QUALITY, TIMELINESS, LEGALITY, PROFESSIONAL STANDARD, OR PERFORMANCE OF ANY USER OR SERVICE; THE ACCURACY OF ANY PROFILE, PORTFOLIO, REVIEW, OFFER, MESSAGE, OR USER CONTENT; THE AVAILABILITY OF ANY WEDFLEXER; THE SUCCESS OR OUTCOME OF A WEDDING OR EVENT; OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. ANY VERIFICATION OR REVIEW WEDFLEX PERFORMS IS LIMITED AS STATED IN SECTION 3.5.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. RELEASE AND MARKETPLACE RISK ALLOCATION

20.1 User-to-User Risk. You understand that wedding and event Services are performed by independent Users in environments WedFlex does not control. To the fullest extent permitted by law, you assume the ordinary risks associated with selecting, hiring, meeting, hosting, or performing for another User and with attending or providing Services at a wedding, event, private residence, venue, or other location.

20.2 Release of User-to-User Claims Against WedFlex. To the fullest extent permitted by law, you release WedFlex and its members, managers, officers, employees, contractors, affiliates, successors, and assigns from claims arising solely from the acts, omissions, Services, property, conduct, or disputes of another User or third party, including claims involving personal injury, death, property damage, lost deposits, service defects, event disruption, or nonperformance, except to the extent a claim is based on WedFlex's own conduct and cannot lawfully be released or limited.

20.3 No Waiver of Nonwaivable Rights. Nothing in these Terms releases or waives rights that applicable law does not permit you to release or waive.

21. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEDFLEX AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, EMOTIONAL DISTRESS, LOSS OF ENJOYMENT OF AN EVENT, SUBSTITUTE SERVICE COSTS, OR OTHER SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE PLATFORM, A BOOKING, A SERVICE AGREEMENT, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, WEDFLEX IS NOT LIABLE FOR THE ACTS, OMISSIONS, NEGLIGENCE, MISCONDUCT, SERVICES, EQUIPMENT, PRODUCTS, VEHICLES, PREMISES, FOOD, ALCOHOL, PROFESSIONAL ERRORS, LICENSING FAILURES, INSURANCE FAILURES, OR OTHER CONDUCT OF A COUPLE, WEDFLEXER, VENUE, GUEST, OR OTHER THIRD PARTY, INCLUDING RESULTING PERSONAL INJURY, DEATH, PROPERTY DAMAGE, EVENT DISRUPTION, OR ECONOMIC LOSS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WEDFLEX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES PAID BY YOU TO, OR RETAINED BY, WEDFLEX IN CONNECTION WITH YOUR USE OF THE PLATFORM DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW AND DO NOT REDUCE A REFUND EXPRESSLY OWED TO A COUPLE UNDER THE REFUND & CANCELLATION POLICY. EACH LIMITATION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGARDLESS OF THE THEORY OF LIABILITY.

22. INDEMNIFICATION, DEFENSE, AND HOLD HARMLESS

22.1 General User Indemnity. To the fullest extent permitted by law, you will defend, indemnify, and hold harmless WedFlex and its members, managers, officers, employees, contractors, affiliates, successors, and assigns (the "WedFlex Indemnified Parties") from third-party claims, demands, proceedings, investigations, losses, liabilities, damages, judgments, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to: (a) your breach of these Terms; (b) your User Content; (c) your violation of law or a third-party right; (d) your fraud, willful misconduct, or negligence; or (e) your use of the Platform in a manner not authorized by these Terms.

22.2 WedFlexer Service Indemnity. In addition to Section 22.1, a WedFlexer will defend, indemnify, and hold harmless the WedFlex Indemnified Parties from third-party claims arising out of or relating to the WedFlexer's Services, personnel, equipment, products, food, alcohol, vehicles, venue, professional acts or omissions, bodily injury, death, property damage, intellectual property infringement, failure to maintain required licenses or insurance, or failure to comply with applicable law, except to the extent the claim was caused by conduct of a WedFlex Indemnified Party for which indemnity cannot lawfully be required.

22.3 Couple Indemnity. In addition to Section 22.1, a Couple will defend, indemnify, and hold harmless the WedFlex Indemnified Parties from third-party claims arising out of or relating to unlawful or materially inaccurate instructions in the Offer, hazards or conditions under the Couple's control that were not reasonably disclosed, lack of authority to use a venue or property, User Content supplied by the Couple, or the Couple's breach of the Service Agreement, except to the extent the claim was caused by conduct of a WedFlex Indemnified Party for which indemnity cannot lawfully be required.

22.4 Defense Procedure. WedFlex will provide reasonably prompt notice of a covered claim when practicable. The indemnifying party must cooperate with the defense. WedFlex may control the defense with counsel of its choice if the claim presents a material conflict, seeks nonmonetary relief against WedFlex, could materially affect WedFlex's operations, or the indemnifying party does not timely assume an adequate defense. No settlement may impose liability, admission, restriction, or nonmonetary obligation on a WedFlex Indemnified Party without WedFlex's written consent.

22.5 Insurance Coordination. Insurance obligations and indemnification obligations are independent unless a policy or applicable law requires otherwise. Maintaining insurance does not cap an indemnifying party's contractual responsibility, and indemnification does not eliminate an obligation to maintain required coverage.

23. FORCE MAJEURE

23.1 Platform Events. WedFlex is not liable for delay or failure to perform Platform obligations caused by events beyond its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, public-health order, war, terrorism, civil unrest, labor disruption, government action, internet or utility outage, cyberattack, or material failure of a payment, hosting, communications, or other third-party service provider, except to the extent applicable law requires otherwise.

23.2 Booking Events. The effect of severe weather, venue closure, emergency, serious illness, government restrictions, or other events affecting a Booking is governed by the Refund & Cancellation Policy, Booking Terms, and applicable law. This Section does not automatically excuse a Couple or WedFlexer from obligations that remain reasonably capable of performance.

24. DISPUTE RESOLUTION BETWEEN YOU AND WEDFLEX; ARBITRATION; CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED EXCEPTIONS BELOW, DISPUTES BETWEEN YOU AND WEDFLEX MUST BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT. THIS SECTION DOES NOT REQUIRE ARBITRATION OF A DISPUTE SOLELY BETWEEN A COUPLE AND A WEDFLEXER UNDER THEIR SERVICE AGREEMENT. SECTION 24 ALSO INCLUDES A ONE-YEAR CONTRACTUAL FILING DEADLINE FOR MANY CLAIMS AGAINST WEDFLEX, SUBJECT TO APPLICABLE LAW.

24.1 Scope. This Section applies to any dispute, claim, or controversy between you and WedFlex arising out of or relating to the Platform, these Terms, your account, a Booking, payment administration, or your relationship with WedFlex, whether based in contract, tort, statute, fraud, misrepresentation, or another legal theory, except claims expressly excluded below. It does not make WedFlex a party to a Couple-WedFlexer Service Agreement and does not govern a dispute solely between those Users.

24.2 Informal Resolution First. Before filing arbitration or a court action against WedFlex, the claimant must send a written notice to hello@wedflex.com that includes the claimant's name, account email, a description of the dispute, relevant Booking number if any, and the relief requested. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Either party may seek temporary emergency relief when waiting would cause irreparable harm or where a limitations period would expire.

24.3 Agreement to Arbitrate. If the dispute is not resolved informally, you and WedFlex agree that the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under the AAA rules applicable to the dispute. If you are using WedFlex primarily for personal, family, or household purposes, the AAA Consumer Arbitration Rules will apply. Otherwise, the AAA Commercial Arbitration Rules will apply unless AAA determines that another rule set is required. If a coordinated filing qualifies for AAA Mass Arbitration procedures, the then-current AAA Mass Arbitration Supplementary Rules will apply to administration of those individual claims. The applicable AAA rules and filing information are available from AAA at www.adr.org.

24.4 Federal Arbitration Act. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable. The arbitrator may award the same individual remedies available in court, including statutory remedies and attorneys' fees when authorized by law, but may award relief only for the individual claimant and only to the extent necessary to resolve that claimant's individual claim.

24.5 Location and Hearing. Arbitration may be conducted by documents, telephone, video conference, or in person as permitted by the applicable AAA rules. For a consumer, the hearing location will not be selected or applied in a manner that unreasonably prevents access to arbitration. The parties may agree to a convenient location or remote hearing.

24.6 Fees. Arbitration filing, administration, and arbitrator fees will be allocated under the applicable AAA rules and applicable law. WedFlex will pay amounts the applicable consumer arbitration rules require the business to pay. Nothing in this Section requires a consumer to pay costs that cannot lawfully be imposed on the consumer.

24.7 Small Claims Exception. Either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies and remains solely on an individual basis. If a small claims action is transferred, removed, or appealed to a court of general jurisdiction, either party may elect arbitration to the extent permitted by law.

24.8 Injunctive Relief for Platform Security and Intellectual Property. Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction to prevent imminent misuse of intellectual property, unauthorized access, security compromise, or other irreparable harm while arbitration is pending, without waiving arbitration of the merits where arbitration otherwise applies.

24.9 Individual Basis Only. YOU AND WEDFLEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, EXCEPT THAT INDIVIDUAL CLAIMS MAY BE ADMINISTERED UNDER AAA MASS ARBITRATION PROCEDURES WHEN THOSE PROCEDURES APPLY. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF DIFFERENT PERSONS INTO A SINGLE MERITS PROCEEDING OR AWARD RELIEF FOR PERSONS WHO ARE NOT PARTIES TO THE INDIVIDUAL ARBITRATION, EXCEPT AS REQUIRED BY APPLICABLE AAA RULES OR LAW.

24.10 Jury Trial Waiver. TO THE EXTENT A DISPUTE BETWEEN YOU AND WEDFLEX IS PROPERLY RESOLVED IN COURT RATHER THAN ARBITRATION, YOU AND WEDFLEX EACH WAIVE THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY LAW.

24.11 Opt-Out Right. You may opt out of the arbitration agreement in this Section by emailing hello@wedflex.com within 30 days after the date you first accept these Terms. Your email must include your full name, account email address, and a clear statement that you are opting out of the arbitration agreement in the WedFlex Terms and Conditions. Opting out of arbitration does not opt you out of any other part of these Terms and does not affect a Service Agreement between a Couple and WedFlexer.

24.12 Court Venue if Arbitration Does Not Apply. If a dispute between you and WedFlex is not subject to arbitration, including because of a valid opt-out, the parties agree to exclusive jurisdiction and venue in the state courts located in Mecklenburg County, North Carolina, or the federal court having jurisdiction over Mecklenburg County, except where applicable law gives a consumer a nonwaivable right to a different forum.

24.13 Severability of Arbitration Terms. If a court or arbitrator with authority finds part of this Section unenforceable, that part will be severed or limited to the minimum extent necessary and the remainder will be enforced, except that if the individual-action requirement in Section 24.9 is held unenforceable as to a particular claim and cannot lawfully be severed, the claim will proceed in court rather than class or representative arbitration unless the parties agree otherwise.

24.14 One-Year Deadline for Claims Against WedFlex. To the fullest extent permitted by applicable law, any claim that you assert against WedFlex arising out of or relating to the Platform, your account, these Terms, or a Booking must be commenced by filing a demand for arbitration or a court complaint within one (1) year after the date on which you knew or reasonably should have known of the material facts giving rise to the claim, but not before the claim accrues under applicable law. If you submit the written notice required by Section 24.2 before that one-year period expires, the contractual period is tolled from WedFlex's receipt of the notice through the end of the required 30-day informal resolution period; sending notice by itself does not commence an arbitration or lawsuit. If applicable law prohibits shortening the period for a particular claim or requires a longer nonwaivable filing period, that applicable law controls. This Section applies only to claims asserted against WedFlex and does not shorten any deadline for a claim solely between a Couple and a WedFlexer under their Service Agreement. Nothing in this Section extends a shorter period required by applicable law.

24.15 Survival. This Section survives termination of your account and these Terms.

25. DISPUTES SOLELY BETWEEN A COUPLE AND A WEDFLEXER

25.1 Direct Responsibility. A dispute solely concerning performance of the Service Agreement, payment earned for Services, property damage caused by a User, service quality, professional conduct, or another issue between the Couple and WedFlexer is a dispute between those parties, not a dispute with WedFlex merely because the Booking was formed through the Platform.

25.2 Good-Faith Resolution. The Couple and WedFlexer should promptly communicate through the Platform and attempt in good faith to resolve the issue. Either party may ask WedFlex support to facilitate communication or review a platform refund or payout issue, but WedFlex is not acting as a court, arbitrator, insurer, or legal representative of either party.

25.3 Preservation of Evidence. The parties should preserve relevant Booking Terms, messages, photographs, receipts, proof of performance, venue communications, insurance information, and other records reasonably relevant to the dispute.

25.4 Governing Law for Service Agreement. Unless the Booking Terms contain a different mutually accepted and lawful choice of law, the Service Agreement is governed by the substantive law of the state where the Services are principally performed, without regard to conflict-of-law principles that would require application of another jurisdiction law.

25.5 Forum. Unless the Booking Terms contain a different mutually accepted and lawful dispute procedure, either the Couple or WedFlexer may pursue an unresolved Service Agreement claim in a court of competent jurisdiction, including small claims court where available. Nothing in this Section limits a party's right to pursue insurance, chargeback, administrative, regulatory, or other remedies available under applicable law, subject to these Terms and payment-provider rules.

26. CHANGES TO THE PLATFORM AND THESE TERMS

26.1 Platform Changes. WedFlex may add, remove, modify, suspend, or discontinue Platform features, service categories, eligibility standards, or operational rules. A change will not retroactively alter a confirmed Booking unless the affected parties agree or the change is required by law, safety, payment-provider rules, or another binding requirement.

26.2 Terms Updates. WedFlex may update these Terms from time to time. The updated version will state a new effective or last-updated date. For material changes, WedFlex will provide notice reasonably designed to inform affected Users and, where appropriate, require affirmative acceptance before continued use.

26.3 Existing Disputes and Bookings. Unless applicable law requires otherwise, a material change to Section 24 will not apply to a dispute for which WedFlex had received a written notice under Section 24.2 before the change became effective. Confirmed Bookings remain governed by the Booking Terms and incorporated policies applicable when they were confirmed unless law or a mutually accepted modification requires otherwise.

27. ELECTRONIC RECORDS AND CONTRACT RETENTION

27.1 Electronic Signatures. The parties consent to use electronic records, electronic signatures, clickwrap acceptance, electronic agents, and electronic transaction processes to form and administer agreements through the Platform to the extent permitted by law.

27.2 Record Retention. WedFlex may retain records of Terms acceptance, consent, Offers, Counteroffers, Booking confirmations, Booking modifications, payments, messages, cancellation actions, and other transaction records as reasonably necessary for Platform operation, legal compliance, fraud prevention, insurance, disputes, and enforcement, subject to the Privacy Policy and applicable law.

27.3 User Copies. Users are responsible for retaining copies of records they may need. Where the Platform provides downloadable or viewable Booking records, Users should preserve them before account closure or expiration of access.

28. GENERAL PROVISIONS

28.1 Governing Law for Your Relationship with WedFlex. Except for the Federal Arbitration Act as applicable to Section 24 and except where nonwaivable law requires otherwise, these Terms and disputes between you and WedFlex are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

28.2 Entire Agreement. These Terms, the Privacy Policy, the Refund & Cancellation Policy, applicable Category Requirements, and other terms you affirmatively accept for a specific Platform feature constitute the agreement between you and WedFlex concerning the Platform. The Service Agreement between a Couple and WedFlexer is separate as described in Section 5.

28.3 Assignment. You may not assign or transfer your rights or obligations under these Terms without WedFlex's prior written consent. WedFlex may assign these Terms in connection with a merger, reorganization, financing, sale of equity, sale of assets, or transfer of the Platform or substantially all relevant business, subject to applicable law.

28.4 No Waiver. Failure to enforce a provision is not a waiver of that provision or any other right. A waiver must be in writing by the party granting it unless applicable law permits another form.

28.5 Severability and Reformation. If a provision is unenforceable, it will be enforced to the maximum extent permitted and, where lawful, modified to reflect the parties' intent as closely as possible. The remaining provisions remain in effect, subject to the specific severability rule in Section 24.13.

28.6 No Third-Party Beneficiaries. Except for persons expressly included as WedFlex Indemnified Parties or otherwise expressly granted enforcement rights, these Terms do not create third-party beneficiary rights. This provision does not alter the separate rights and obligations created between a Couple and WedFlexer by a Service Agreement.

28.7 Interpretation. Section headings are for convenience and do not limit meaning. "Including" means "including without limitation." References to a law include amendments and successor provisions. A requirement to act "promptly" means within a commercially reasonable time under the circumstances.

28.8 No Drafting Presumption. These Terms will not be construed against a party solely because that party drafted or proposed them.
